Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User" or "You") and FJAN IT ("Company", "We", or "Us") for the Checklist Extension for Azure DevOps, including related documentation, updates, hosted subscription services used to validate entitlements, and any associated content that we provide as part of the offering (collectively, the "Software").

By installing, accessing, copying, or otherwise using the Software, you agree to be bound by this EULA. If you do not agree to this EULA, do not install or use the Software.

Definitions

For purposes of this EULA:

  • "Free Tier" means the no-charge access level of the Software that is subject to feature, usage, or capacity limits.
  • "Premium Subscription" means a paid subscription that unlocks premium features for the applicable Azure DevOps organization during an active subscription term.
  • "Organization" means the Azure DevOps organization for which access to the Software is installed, configured, or licensed.
  • "Subscription Term" means the monthly, yearly, or other billing period selected at the time of purchase or renewal.

License Grant and Access Model

Subject to this EULA, FJAN IT grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your internal personal or business use.

The Software is offered on a freemium basis:

  • The Free Tier may be used at no charge, subject to the feature and usage limits shown in the Software, the Azure DevOps Marketplace listing, or the applicable purchase flow.
  • Certain features require an active Premium Subscription. Premium entitlements are granted on a per-Organization basis unless we expressly state otherwise.
  • As of the last updated date of this EULA, the Free Tier permits creation of up to 2 checklist templates per Organization in the Software's template management experience, and Premium access unlocks unlimited templates for that Organization. We may reasonably update Free Tier and Premium feature limits from time to time on a prospective basis.
  • Access to Premium features may depend on successful validation of your subscription status through FJAN IT services or service providers.

Permitted Uses

You may:

  • Install and use the Software in one or more Azure DevOps organizations that you are authorized to use.
  • Use the Software for personal, educational, and commercial purposes within your organization.
  • Create, manage, and apply checklist templates and checklist data within Azure DevOps using the Software.
  • Use Premium features during an active Premium Subscription term for the licensed Organization.

Restrictions

You may not:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Software, except where applicable law expressly permits it.
  • Modify, adapt, or create derivative works of the Software.
  • Remove or alter proprietary notices, labels, or branding on the Software.
  • Distribute, resell, lease, rent, sublicense, assign, timeshare, or otherwise make the Software available to third parties except as expressly permitted by us in writing.
  • Use the Software in violation of law, regulation, third-party rights, or Azure DevOps terms that apply to your environment.
  • Attempt to bypass, disable, defeat, or interfere with feature gates, subscription validation, usage limits, or security mechanisms of the Software.

Fees, Billing, Cancellation, and Refunds

Premium features require payment of the fees presented at the time of purchase or renewal. Unless we expressly state otherwise in writing:

  • Subscription fees are billed in advance for the selected Subscription Term.
  • If the Premium Subscription is offered on a recurring basis, it renews automatically for successive Subscription Terms until canceled.
  • You are responsible for applicable taxes, duties, levies, or similar governmental charges, excluding taxes based on our net income.
  • You may cancel renewal of a Premium Subscription before the next renewal date through the applicable account, billing, or license management flow.
  • Cancellation stops future renewals, but the current paid Subscription Term remains active until it expires unless otherwise required by law.
  • Except where required by law or expressly stated at the time of purchase, payments are non-refundable.
  • We may change pricing or billing terms on a prospective basis. Any price change will apply no earlier than the next renewal or new purchase, unless applicable law requires a different process.

If payment cannot be collected, if your Premium Subscription expires, or if we cannot validate your entitlement, Premium features may be suspended, disabled, or downgraded to the Free Tier.

Subscription Validation and Service Availability

You acknowledge that Premium functionality may require internet connectivity and communication with FJAN IT-operated or third-party services to validate Organization entitlements, manage accounts, process billing, or provide support.

We do not guarantee uninterrupted availability of subscription validation, account management, checkout, or related online services. A temporary outage or failure of those services may affect access to Premium features.

Data and Privacy

The Software stores checklist content, configuration data, and templates primarily within your Azure DevOps environment. FJAN IT does not claim ownership of your checklist content.

To provide the Software and Premium Subscription, FJAN IT and its service providers may process limited information such as:

  • Organization identifiers and names
  • Subscription and entitlement status
  • Account, contact, and billing information that you provide during purchase or license management
  • Technical and diagnostic data reasonably necessary to secure, operate, support, and improve the Software

FJAN IT does not use the Software to copy checklist content out of your Azure DevOps environment except as necessary for user-initiated support, troubleshooting, or other services you request. Your use of the Software is also subject to the applicable privacy policy made available through the Azure DevOps Marketplace listing or our website.

Support and Updates

Support for the Software is provided on a best-effort basis unless we expressly agree otherwise in writing. Premium Subscriptions include priority support, but no service level agreement or guaranteed response time applies unless separately agreed in writing.

We may release updates, patches, enhancements, or changes to the Software at our discretion. Some changes may modify or discontinue features, including Free Tier or Premium Subscription functionality, provided that we do not retroactively deprive you of already-paid access for the remainder of the current Subscription Term except as permitted by this EULA.

Suspension and Termination

This EULA remains effective until terminated.

You may terminate this EULA at any time by uninstalling the Software and ceasing use of it.

FJAN IT may suspend or terminate your access to the Software or any portion of it, including Premium access, if:

  • You breach this EULA
  • You fail to pay applicable fees
  • We reasonably suspect fraud, abuse, misuse, or circumvention of feature limits or subscription controls
  • We are required to do so by law or by a service provider that supports the Software

Upon termination or expiration:

  • Your license to use the affected portion of the Software ends immediately.
  • Premium access may cease immediately, and your use may revert to whatever Free Tier access is then available, if any.
  • Sections that by their nature should survive termination will survive, including restrictions, fees owed, disclaimers, limitations of liability, governing law, and contact provisions.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. FJAN IT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH YOUR SYSTEMS OR WORKFLOWS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FJAN IT WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FJAN IT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FJAN IT FOR THE SOFTWARE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) FIFTY EUROS (€50).

Governing Law

This EULA shall be governed by and construed in accordance with the laws of the jurisdiction where FJAN IT is established, without regard to its conflict of law principles.

Entire Agreement

This EULA constitutes the entire agreement between you and FJAN IT concerning the Software, except for any separate written agreement, order form, or marketplace terms that expressly govern a purchase or enterprise arrangement for the Software.
